Contracts

Contracts are drafted from your clause library. Each clause has standard text, may be locked, and may have a pre-approved fallback with guidance for negotiators. The clauses your policy requires for the contract’s type, value and funding are added for you, such as the six CIP-013 terms or federal grant provisions.

The contract review agent compares the draft with the library: it flags clauses that were weakened or removed and proposes restoring the standard or fallback text. You accept or reject each proposal. A contract cannot be submitted while a required clause is missing.

Contracts go through their approval chain (including a security officer step for CIP-013 contracts), then to the supplier to sign in the portal.

The contract page shows:

  • Spend against the not-to-exceed value, and warnings as it nears the limit.
  • Term and renewals left, with warnings before it ends.
  • Obligations: deliverables, insurance certificates and reports, with due dates.
  • Amendments and the Orders released against it.

Contracts with an escalation clause tie price changes to a published index (a BLS producer or consumer price index) with a cap, a floor and an anniversary. Price escalation shows the index readings, what each contract allows today, and supplier requests for increases, which a second person decides.
